1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and JEC Capital Inc. ("Company," "we," "our," or "us") governing your access to and use of our website www.jeccapital.surf and all related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not access or use our Services.

JEC Capital Inc. provides professional computer systems design and technical consulting services, including but not limited to:

• Computer systems design and development
• Computer integrated systems design
• Technical consulting and advisory services
• Architectural and engineering services
• Scientific research and development
• Specialized design services

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

4. User Obligations

4.1 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable local, state, national, or international law
• Infringe upon or violate our intellectual property rights or the rights of others
• Transmit any harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable material

4.2 Account Security

If you create an account with us, you are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information is accurate and up to date

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and design) are owned by JEC Capital Inc. or its licensors and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Services without our prior written consent, except as permitted by law.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal or internal business purposes, subject to these Terms.

"JEC Capital" and related logos are trademarks of JEC Capital Inc. You may not use these trademarks without our prior written permission.

6. Client Engagements

6.1 Service Agreements

Specific services provided by JEC Capital Inc. will be governed by separate written agreements ("Service Agreements") that supplement these Terms. In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail.

6.2 Scope of Work

Each Service Agreement will define:

• Detailed scope of work and deliverables
• Project timelines and milestones
• Fees, payment terms, and expenses
• Intellectual property ownership
• Confidentiality obligations
• Warranties and limitations of liability

6.3 Client Responsibilities

Clients engaging our services agree to:

• Provide timely access to necessary information, systems, and personnel
• Respond promptly to requests for feedback and approvals
• Pay all fees in accordance with agreed payment terms
• Comply with all applicable laws and regulations
• Maintain appropriate backups of their data and systems

7. Fees and Payment

7.1 Service Fees

Fees for our services will be specified in the applicable Service Agreement. Unless otherwise stated, all fees are in Canadian Dollars (CAD) and are non-refundable.

7.2 Payment Terms

Payment terms will be specified in each Service Agreement. Generally:

• Invoices are due within 30 days of the invoice date unless otherwise specified
• Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law
• We reserve the right to suspend services for non-payment
• You are responsible for all taxes, except those based on our net income

7.3 Expenses

Unless otherwise agreed, clients are responsible for reimbursing reasonable expenses incurred in connection with services, including travel, accommodation, and third-party costs.

8. Confidentiality

8.1 Confidential Information

Both parties acknowledge that they may have access to confidential information of the other party. "Confidential Information" includes business plans, technical data, customer information, financial information, and any information marked as confidential.

8.2 Obligations

Each party agrees to:

• Maintain the confidentiality of the other party's Confidential Information
• Use Confidential Information only for the purposes of the engagement
• Not disclose Confidential Information to third parties without prior written consent
• Protect Confidential Information with the same degree of care used for its own confidential information

8.3 Exceptions

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no breach of these Terms
• Was rightfully in the receiving party's possession prior to disclosure
• Is independently developed without use of Confidential Information
• Is required to be disclosed by law or court order

9. Warranties and Disclaimers

9.1 Professional Services

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty is valid for 30 days from delivery of services unless otherwise specified in a Service Agreement.

9.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of content

10. Limitation of Liability

10.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JEC CAPITAL INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption or loss of business opportunities
• Any damages arising from your use of or inability to use the Services

10.2 Cap on Liability

Our total liability to you for all claims arising from or related to the Services shall not exceed the greater of:

• The amount you paid us in the 12 months preceding the claim, or
• CAD $1,000

10.3 Exceptions

The limitations in this section do not apply to:

• Liability for death or personal injury caused by negligence
• Liability for fraud or fraudulent misrepresentation
• Any liability that cannot be excluded by law

11. Indemnification

You agree to indemnify, defend, and hold harmless JEC Capital Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

12. Term and Termination

12.1 Term

These Terms remain in effect while you use our Services or until terminated in accordance with this section.

12.2 Termination by You

You may terminate your use of the Services at any time by ceasing to access the website and notifying us in writing.

12.3 Termination by Us

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• At our sole discretion

12.4 Effect of Termination

Upon termination:

• Your right to use the Services ceases immediately
• You remain liable for all fees and charges incurred prior to termination
• Provisions that by their nature should survive termination shall survive

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

13.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada for the resolution of any disputes.

13.3 Informal Resolution

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally by sending written notice to contact@jeccapital.surf.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any Service Agreements, constitute the entire agreement between you and JEC Capital Inc. regarding the Services.

14.2 Amendments

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

14.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

14.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or government actions.

14.7 Independent Contractors

The relationship between you and JEC Capital Inc. is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
